Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the inference-relay library and related services (the “Service”) provided by L2B II LLC (“L2B II,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance and Eligibility

By creating an account, installing the inference-relay library, or otherwise accessing or using the Service, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • If you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms.
  • Your use of the Service will comply with all applicable laws and regulations.

If you do not agree to these Terms, you may not use the Service.

2. Account

You must create an account to use the Service. Account registration is managed through Clerk, our authentication provider. You are responsible for maintaining the confidentiality of your account credentials, license keys, and API keys. You are solely responsible for all activity that occurs under your account. You must notify us immediately at legal@inference-relay.com if you become aware of any unauthorized use of your account.

3. The Service

inference-relay is a TypeScript library that routes AI inference requests through users’ own AI provider subscriptions and API keys via official provider interfaces, including the Claude CLI binary. The Service includes:

  • The inference-relay npm library, which runs entirely in your local environment.
  • License validation and subscription management via our backend.
  • A usage analytics dashboard displaying metadata-only telemetry.

inference-relay is a routing library, not an AI provider. We do not generate, host, endorse, verify, or control any AI output. All inference is performed by your AI providers using your own subscriptions and API keys.

3a. Gateway Bundle Download

Gateway Bundle. Certain Service features (specifically, routing inference through your AI provider’s local CLI binary) require the Library to download a signed implementation bundle (the “Gateway Bundle”) from L2B II’s Protocol Authority on first use, under the customer’s license key. The Gateway Bundle is verified against an embedded RSA public key prior to execution and cached locally at ~/.inference-relay/gateway/<version>/. By installing or using the Library, you authorize this download. The Gateway Bundle is a component of the Service and is governed by these Terms.

3b. Gateway Bundle Execution Privileges

Execution Privileges. You acknowledge that the Gateway Bundle, once verified and loaded, executes within your Node.js process and may, as required to perform routing functions:

  • (a) spawn subprocesses, including the Claude CLI binary;
  • (b) read OAuth credentials from your operating system’s keychain or secure credential store;
  • (c) access environment variables and the local filesystem;
  • (d) communicate with your AI providers’ endpoints.

The Gateway Bundle does not access, transmit, or store the content of your prompts or AI responses. The Library’s Privacy Policy and Section 6 of these Terms describe content handling in full.

4. License Grant

Subject to your compliance with these Terms and payment of applicable fees, L2B II grants you a limited, non-exclusive, non-transferable, revocable license to install and use the inference-relay library in accordance with your subscription tier. This license does not include the right to sublicense, distribute, or make the library available to third parties outside of your organization. All rights not expressly granted are reserved by L2B II.

5. Restrictions

You agree that you will not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the library, except to the extent expressly permitted by applicable law.
  • Circumvent, disable, or interfere with license validation, rate limiting, tier restrictions, or any security features of the Service.
  • Share, transfer, resell, sublicense, or redistribute your license key or the library itself.
  • Use automated means to scrape, extract, or harvest data from the Service or its infrastructure.
  • Competitor Restriction. Use the Service if you are a person or entity that develops, operates, or offers a product or service that competes with inference-relay, including but not limited to AI inference routing, relay, or orchestration libraries. L2B II reserves the right to determine, in its sole discretion, whether a product or service is competitive.

5a. Gateway Bundle Confidentiality

You acknowledge that the Gateway Bundle constitutes L2B II’s confidential information and trade secrets. You agree that you will not, and will not permit any third party to:

  • (i) copy, redistribute, publish, or make the Gateway Bundle available to any third party;
  • (ii) reverse engineer, decompile, or disassemble the Gateway Bundle, except to the extent expressly permitted by applicable mandatory law and only after first providing L2B II with written notice and a reasonable opportunity to provide the requested information;
  • (iii) use the Gateway Bundle for any purpose other than executing inference routing within an authorized installation of the Library;
  • (iv) extract, study, or attempt to derive the techniques, algorithms, command-line invocations, or process orchestration patterns embedded in the Gateway Bundle for any purpose other than authorized use.

Each Gateway Bundle contains a build identifier; copies obtained or distributed in violation of this section are identifiable.

5b. Audit

L2B II reserves the right, upon thirty (30) days’ written notice and no more than once per calendar year, to audit your installations of the Library to verify compliance with these Terms, including retention of the Gateway Bundle following termination and any indication that the Gateway Bundle has been redistributed. Audits will be conducted during normal business hours and in a manner that minimizes disruption to your operations. If an audit reveals a material breach of these Terms, you will reimburse L2B II for the reasonable costs of the audit in addition to any other remedies available to L2B II.

6. Intellectual Property

Our property. L2B II retains all right, title, and interest in and to the inference-relay library, the Service, and all related intellectual property, including all source code, documentation, trade secrets, trademarks, and proprietary algorithms.

Your property. You retain all right, title, and interest in and to your code, prompts, completions, and any content processed through the library. inference-relay claims no rights whatsoever over any content that passes through it. The Service does not access, store, or process your content.

6a. Gateway Bundle Ownership

Gateway Bundle. The Gateway Bundle, including all of its source code, compiled output, signing keys, attestations, and embedded build identifiers, is the sole and exclusive property of L2B II. No license to the Gateway Bundle, express or implied, is granted under these Terms except the limited right to download, cache, and execute the Gateway Bundle solely as a component of an authorized installation of the Library during the term of your active subscription.

7. Fees and Billing

The Service is offered in three subscription tiers:

Solo
$50/mo
Up to 3,000 relay calls per month. All providers, fallback cascade, streaming, analytics.
Pro
$100/mo
Up to 15,000 relay calls per month. Warm process pool, advanced routing DSL, tamper-evident audit trail.
Enterprise
Custom
Multi-developer org provisioning. Fleet policy, org-wide key management, SSO/SCIM, NDA code audit, dedicated support.

All fees are processed through Stripe. Subscriptions auto-renew at the end of each billing cycle unless cancelled. Prices are stated in US Dollars and are exclusive of applicable taxes. L2B II reserves the right to change pricing with 30 days’ notice. Price changes do not apply to the current billing cycle.

8. Cancellation and Refunds

You may cancel your subscription at any time through your dashboard. Upon cancellation, your subscription remains active until the end of the current billing period. We do not provide prorated refunds for the unused portion of a billing cycle. After cancellation takes effect, your license key is deactivated and the library will cease to function for relay operations.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. L2B II DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE. L2B II MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, QUALITY, OR AVAILABILITY OF ANY AI OUTPUT GENERATED THROUGH YOUR USE OF THE SERVICE. INFERENCE-RELAY IS A ROUTING LAYER AND DOES NOT GENERATE, VERIFY, OR ENDORSE ANY AI OUTPUT.

9a. Gateway Bundle Availability

L2B II makes no warranty that the Gateway Bundle endpoint will be reachable, that any specific version of the Gateway Bundle will remain available, or that download speeds will meet any particular threshold. The Library’s behavior in the event of Gateway Bundle unavailability is to fail closed: subscription-routed inference requests will return a structured error and the Library may, if so configured by the customer, fall back to direct API providers. L2B II is not liable for inference work that cannot be completed due to Gateway Bundle unavailability.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL L2B II, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, L2B II’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO L2B II IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). L2B II IS NOT LIABLE FOR AI OUTPUT QUALITY, ACCURACY, HARMFULNESS, OR APPROPRIATENESS. L2B II IS NOT LIABLE FOR AI PROVIDER OUTAGES, RATE LIMITS, OR POLICY CHANGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless L2B II and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Service; (c) your violation of applicable law; (d) your violation of any AI provider’s terms of service or acceptable use policy; (e) any content routed through the Service using your account; or (f) any third-party claim that your use of the Service infringes or misappropriates a third party’s intellectual property rights.

12. Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against L2B II. If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that a dispute can proceed on a class basis, then the dispute must be brought exclusively in the DIFC Courts and this arbitration provision shall be deemed null and void with respect to such dispute.

13. Termination

By L2B II. We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms. We may also terminate for convenience with 30 days’ written notice. In the event of a termination for convenience by L2B II, you will receive a prorated refund for the unused portion of your current billing period. No refund is provided for termination due to violation.

By you. You may cancel your subscription and terminate your account at any time through your dashboard. Cancellation takes effect at the end of your current billing period.

Effect of termination. Upon termination, your license to use the library is immediately revoked. Your license key is deactivated and the library will cease to function for relay operations. Account data and usage metadata are retained in accordance with our Privacy Policy.

13a. Cached Gateway Bundle on Termination

Cached Gateway Bundle. Upon termination or expiration of your subscription, you must, within seven (7) days, delete all locally cached copies of the Gateway Bundle, including any copies stored at ~/.inference-relay/gateway/ or other filesystem locations to which the Library wrote during operation. Continued possession or use of the Gateway Bundle after termination is a material breach of these Terms and a misappropriation of L2B II’s trade secrets.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), notwithstanding any conflict of law provisions.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the DIFC Courts. You irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.

15. General Provisions

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy and Responsible Use Policy, constitute the entire agreement between you and L2B II with respect to the Service and supersede all prior and contemporaneous communications, whether oral or written.

No waiver. The failure of L2B II to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights under these Terms without L2B II’s prior written consent. L2B II may assign these Terms without restriction.

Modifications to these Terms. L2B II may modify these Terms from time to time. We will notify you of material changes by posting an updated version on our website with a revised “Last updated” date and, where the change materially affects your rights or obligations, by sending notice to the email address associated with your account. Continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to cancel your subscription before the modification takes effect.

Force majeure. L2B II shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
